1. Capital Structure, Covenants and How to Read Credit Agreements
A primer for bankers, analysts and investors seeking to attain knowledge of Leveraged Loans and High Yield Bonds. Including analyzing covenants, calculating debt an lien capacity and how to read indentures and credit agreements
The purpose of this [program] is to provide participants with a detailed analytical discussion that focuses on how to analyze High Yield Bonds and Leveraged Loans. The course will cover key tenants of credit analysis, including how to identify and understand important sections of credit agreements and indentures, analyze covenants, calculate debt and lien capacity, perform credit comp analysis, and recognize capital structure issues that could be driven by structural subordination, OpCo vs HoldCo dynamics, and value distribution among guarantor / non-guarantors and restricted / unrestricted subsidiaries. The case study covers the controversial topic of asset transfers using J. Crew as an example.
Participants should have a basic understanding of finance, accounting, financial statement analysis and a basic familiarity with indentures, credit agreements and covenants.
Course Format and Duration
The course will take place on December 5, 2019 from 8:30am-1pm at the New York Seminar and Conference 71 West 23rd Street, NY, NY – Suite 515, a light lunch provided. The format is classroom lecture with sample Excel exercise calculations. Participants can follow along on screen or bring their own laptop. All participants will receive a copy of the completed Excel exercise. Seminar will last approximately 4 hours and the cost is $450 per person. 20% discount for groups of 5 or more (contact for details).

2. Bankruptcy: A Primer to Distressed Debt Analysis
A primer for investors seeking to attain knowledge about investments in distressed securities, defaulted securities and the securities of companies undergoing court supervised Chapter 11 reorganization.
The purpose of this content is to provide participants with the requisite skills to analyze and value companies in financial distress and bankruptcy as well as provide a detailed understanding the dynamics of investing in distressed securities and bankrupt companies. Whether an introduction on the fundamentals or more technical modeling approached for seasoned investors, the restructuring content can be customized to suit your training needs and objectives. A laptop is required as there will be Excel exercises.
Recommend taking Capital Structure, Covenants and Reading Credit Agreements that takes place on December 5, 2019. Participants should have a basic understanding of finance, accounting, financial statement analysis and financial modeling. A strong proficiency of Excel is recommended to gain the most from the experience with hands-on modeling exercises.
